By creating an account or using BidGhost ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These Terms constitute a binding agreement between you and NoLapse LLC, an Arizona limited liability company doing business as BidGhost.
BidGhost is a quote follow-up tool for small businesses. It sends automated SMS and email reminders to your clients on your behalf after you submit a quote, bid, estimate, or proposal. You control when messages are sent, to whom, and you confirm client consent before any message is delivered.
You must be at least 18 years old and operating a legitimate business to use BidGhost. By using the Service you represent that the information you provide is accurate and that you have authority to bind your business to these Terms.
By using BidGhost you agree to:
You are solely responsible for the content of messages sent through your account and for ensuring you have proper consent from each recipient.
BidGhost sends SMS messages on your behalf using Twilio, a registered messaging provider. All messages are sent from a dedicated 10DLC registered phone number assigned to your account.
Consent: Before each quote is created, you confirm that the client provided their phone number in connection with a quote request and has consented to be contacted about it. This confirmation is logged with a timestamp.
Opt-out: Every message includes "Reply STOP to unsubscribe." Opt-out requests are honored immediately and permanently. Once a number opts out, no further messages are sent to that number from your account.
Message frequency: Clients receive between 2 and 5 messages per quote over the life of the quote, typically 14 to 30 days.
You are the sender of record. BidGhost is a platform that facilitates message delivery. You are responsible for ensuring you have valid consent for every phone number you enter.
Trial: New accounts receive a 14-day free trial. A valid credit card is required to start. You will not be charged until day 15.
Founding member pricing: The first 200 customers are locked at $49/month forever. This rate will never be raised for founding members. Accounts created after the first 200 pay $79/month.
Billing: Subscriptions are billed monthly. Payment is processed by Stripe. By providing payment information you authorize NoLapse LLC to charge your card on a recurring monthly basis.
Cancellation: You may cancel at any time. Access continues until the end of your current billing period. No refunds are issued for partial months.
Account deletion: You may delete your account at any time from the Settings page. Deletion cancels your subscription immediately. For legal and compliance purposes, certain records (including message logs and consent records) are retained after deletion as required by law.
You may not use BidGhost to:
NoLapse LLC reserves the right to suspend or terminate accounts that violate these terms without notice or refund.
BidGhost uses the Claude API (Anthropic) to extract information from photos of quotes you upload. By uploading a photo, you grant NoLapse LLC a limited license to process that image for the purpose of extracting quote information. Images are processed and not stored beyond what is necessary to complete the extraction. Do not upload images containing sensitive personal information beyond what is needed for a quote.
BidGhost, the ghost icon, and all associated branding are property of NoLapse LLC. You retain ownership of your business data. You grant NoLapse LLC a limited license to use your data to provide the Service.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. NOLAPSE LLC DOES NOT GUARANTEE THAT MESSAGES WILL BE DELIVERED, THAT CLIENTS WILL RESPOND, OR THAT USE OF THE SERVICE WILL RESULT IN CLOSED BUSINESS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOLAPSE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 3 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless NoLapse LLC and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights including TCPA claims arising from messages you sent without valid consent.
These Terms are governed by the laws of the State of Arizona. Any disputes shall be resolved in the courts of Maricopa County, Arizona.
We may update these Terms at any time. We will notify you by email at least 7 days before material changes take effect. Continued use of the Service after changes constitutes acceptance.
